1. Preamble

This Code of Ethics (“Code”) is established to articulate Korea Shipmanagers Co., Ltd.’s (“Company”) commitment to ethical business conduct and its dedication to fostering a culture of compliance and ethics within the organization.

The Code provides guidelines for ethical behavior to the executives and staff members (“Employees”) of the Company in a business context. All members are expected to act in good faith in observing the Code.

2. Lawfulness and Integrity

The Company operates as part of the community and under the rule of law, and it must comply with all applicable laws and regulations.

Employees are required to follow all applicable laws and regulations and have an obligation to comply with the Company’s lawful policies and rules.

3. Client Relations

The Company must respond to clients’ requests or requirements with speed, agility, and intelligence.

It must respect its clients and strive to provide expertise to them. Additionally, the Company must protect clients’ confidential information and avoid any actions that could harm or unfairly disadvantage them.

4. Fairness in Trade

The Company values the principles of a free-market economy and fair competition.

It shall pursue mutual benefit in dealings with subcontractors by establishing cooperative partnerships.

The Company must not exert undue influence or apply unnecessary pressure on its subcontractors.

5. Competence and Diligence of the Executives and Staff Members

Employees should respect one another based on mutual confidence and understanding to foster a sound corporate culture.

They deserve fair opportunities based on their abilities without any prejudice or discrimination. Performance must be evaluated and compensated fairly. Employees are expected to perform their daily business tasks properly by observing applicable laws, regulations, and the Company’s lawful rules.

They must protect the Company’s material and intellectual properties, as well as its confidential information, which must not be used for personal purposes. Employees must not engage in any physical, verbal, or visual behavior that could be construed as sexual harassment, nor should they partake in harmful speech or actions that damage a healthy workplace environment.

6. Responsibilities for Society

The Company shall engage in corporate social contributions to the local community and the broader society by enhancing productivity, creating jobs, and participating in various social responsibility activities.

It must fully comply with safety laws and regulations and work diligently to prevent accidents through regular training and inspections.

The Company shall also adhere to all environmental laws and regulations and strive to implement environmentally friendly practices.

7. Supplementary Provisions

Anyone who becomes aware of a violation of the Code must promptly report it to the compliance desk.
